64 Bit OS can support multiple CPU's and RAM. In case of 32 Bit OS there is a limit for the kernel within 32 bit OS to support upto 8GB RAM and 4 Core processors. Above that limit you need 64 bit OS. This is from the hardware perspective there are also software limitations as well.

It depends on the hardware. If your hardware doesn't support 64 bit OS then you can't get the benefits of the OS. If the hardware is capable of supporting both 32 bit and 64 bit then it is better to use 64 bit. In terms of features and the performance wise 64 bit is better.
